End User Licence Agreement

AllCalc Pro Ltd · British Virgin Islands

This End User Licence Agreement ("Agreement") is a legal agreement between you ("User") and AllCalc Pro Ltd, a company incorporated in the British Virgin Islands ("AllCalc Pro", "we", "us", or "our"). By accessing or using the AllCalc Pro web application ("Software"), you agree to be bound by the terms of this Agreement. If you do not agree, do not use the Software.

1. Grant of Licence

Subject to your compliance with this Agreement and payment of applicable subscription fees, AllCalc Pro grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Software solely for your internal professional or personal construction calculation purposes.

This licence does not include the right to sublicense, resell, distribute, or otherwise make the Software available to third parties. You may not use the Software to provide calculation services to third parties on a commercial bureau or time-sharing basis without our prior written consent.

2. Subscription and Payment

Access to the Software is provided on a subscription basis. Subscription fees are charged in advance on a monthly or annual basis as selected at the time of purchase. All fees are stated in United States Dollars (USD) and are non-refundable except as required by applicable law.

AllCalc Pro reserves the right to change subscription pricing upon 30 days' written notice. Continued use of the Software after a price change constitutes acceptance of the new pricing.

A 14-day free trial is available on all paid plans. No credit card is required to start a trial. At the end of the trial period, your account will be paused unless you subscribe.

3. Restrictions

You must not: (a) copy, modify, adapt, translate, or create derivative works of the Software; (b) reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software; (c) remove or alter any proprietary notices, labels, or marks on the Software; (d) use the Software for any unlawful purpose or in violation of any applicable laws or regulations; (e) attempt to gain unauthorised access to any part of the Software or its related systems.

You are solely responsible for ensuring that your use of the Software and any outputs it produces comply with all applicable professional standards, building codes, and regulations in your jurisdiction. AllCalc Pro does not warrant that outputs are suitable for submission to any regulatory authority without independent professional verification.

4. Intellectual Property

The Software, including all content, features, functionality, algorithms, calculation methodologies, and user interface designs, is owned by AllCalc Pro and is protected by copyright, trade secret, and other intellectual property laws. This Agreement does not transfer any ownership rights to you.

You retain ownership of all project data, calculations, and documents you create or upload using the Software. By using the Software, you grant AllCalc Pro a limited licence to process your data solely to provide the service to you.

5. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. ALLCALC PRO DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Calculation outputs produced by the Software are provided for guidance and reference purposes only. They do not constitute professional engineering, quantity surveying, architectural, or legal advice. You should always have outputs reviewed by a suitably qualified professional before relying on them for design, construction, or contractual purposes.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALLCALC PRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SOFTWARE.

ALLCALC PRO'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY YOU IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

7. Termination

This Agreement is effective until terminated. You may terminate it at any time by cancelling your subscription and ceasing use of the Software. AllCalc Pro may terminate or suspend your access immediately, without notice, if you breach any term of this Agreement.

Upon termination, your licence to use the Software ceases immediately. Sections 4, 5, 6, 8, and 9 survive termination.

8. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to its conflict of law provisions. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of the British Virgin Islands.

Before initiating formal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days.

9. General

This Agreement constitutes the entire agreement between you and AllCalc Pro regarding the Software and supersedes all prior agreements and understandings. If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.

AllCalc Pro may update this Agreement from time to time. We will notify you of material changes by email or by posting a notice in the Software. Continued use after the effective date of changes constitutes acceptance.
